Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Makeway website, mobile application, and all related services (collectively, the "Service") operated by MAKE WAY LLC ("Makeway," "we," "us," or "our"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Makeway provides a digital platform designed to facilitate the voluntary sharing of information between users related to vehicle location, parking context, and other relevant situational data. The Service enables users to communicate and share certain private data with one another in order to coordinate parking activity more efficiently. The Service does not provide parking, manage parking locations, lease parking spaces, or create legal reservations for parking spaces.

Users who access or use the Service acknowledge and agree that Makeway operates solely as a technology platform for the exchange of information and does not act as a property manager, parking operator, broker, or intermediary for the rental or reservation of physical parking spaces.
Nature of the Platform
Makeway exists to allow individuals to share private contextual information with one another that may assist with parking coordination. This may include a pinned address that a user voluntarily shares when posting or confirming a parking spot, vehicle identification information that the user chooses to provide, and other contextual signals that help users understand parking availability. To coordinate parking, the Service may use your device's location, including in the background, to calculate estimated arrival times and display positions on a map. Location handling is governed by the Privacy Policy.

At no point does Makeway host, rent, lease, sell, license, allocate, or legally reserve parking spaces. The platform does not create any contractual relationship between users with respect to a parking space. The Service does not guarantee that a parking space will be available, accessible, lawful to use, or appropriate for any particular purpose.

Any information displayed within the Service regarding parking activity should be understood strictly as user-provided or system-generated informational data. It is not a representation that a space is legally available, reserved, authorized, or controlled by the platform.

Users remain fully responsible for independently determining whether parking in any location is lawful and permissible.
Eligibility
To use the Service, you must be at least 18 years of age, possess a valid and non-suspended driver's license, have a valid vehicle registration and valid license plates, and be a lawful operator of the vehicle associated with your account.

By creating an account, you represent and warrant that you meet all eligibility requirements. Makeway reserves the right to verify eligibility and to suspend or terminate accounts that do not meet these requirements.
Regional Availability
Makeway is currently available only in Hoboken, New Jersey. Users must be physically located within the designated service area to complete transactions on the platform.

Makeway reserves the right to expand, contract, or discontinue service in specific regions at any time with notice to affected users. If service is discontinued in a user's region, their account will be suspended and any remaining wallet balance will be handled in accordance with the Wallet Balance and Account Lifecycle section of these Terms.
User Responsibilities and Lawful Use
By using the Service, you agree that your use of the platform will at all times comply with all applicable laws, local ordinances, traffic regulations, property rules, and parking restrictions. You acknowledge that parking regulations may vary significantly by city, municipality, private property owner, and jurisdiction, and that it is your responsibility to verify compliance before parking in any location.

Users are solely and entirely responsible for reading and complying with all posted street signs, time restrictions, permit requirements, and any other applicable parking regulations before parking in any location. Users agree not to rely on the platform as a legal authority regarding parking eligibility. The Service does not interpret, enforce, or guarantee compliance with local parking laws.

You further agree to conduct yourself responsibly while using the platform and to respect the rights of property owners, other drivers, and surrounding communities. Users must not attempt to use the platform in a way that stretches or circumvents legal boundaries related to parking access, trespassing, traffic laws, or property rights.

If a property owner, building manager, law enforcement officer, or authorized authority instructs you to move your vehicle or refrain from parking in a location, you must immediately comply regardless of any information displayed within the Service.

Makeway assumes no responsibility for parking violations, towing, tickets, fines, vehicle damage, property damage, or disputes that may arise from a user's decision to park in any location. Users assume all risk and responsibility for their parking decisions.
Safety and In-Person Interactions
The Service coordinates interactions that take place on public streets between users who do not otherwise know each other. Makeway does not conduct background checks or driving-record checks on users and makes no representations about any user's identity, conduct, or driving. You are solely responsible for your own safety when interacting with other users. Exercise reasonable judgment, remain in your vehicle or in public view during handoffs, and disengage from any interaction that feels unsafe.

Makeway does not provide insurance of any kind. Your own automobile and personal insurance policies govern any incident involving your vehicle. Safety concerns may be reported to support@makeway.net and, where appropriate, to law enforcement.
Safe Driving
Do not interact with the Service while operating a moving vehicle. The Service is designed to be used before you begin driving, while safely parked, or by a passenger. You are responsible for complying with all applicable distracted-driving and hands-free laws, including New Jersey's hands-free requirements, and for operating your vehicle safely at all times.
Prohibited Conduct
In addition to the responsibilities described above, you agree that you will not: solicit, offer, or accept payment or anything of value from another user in exchange for a parking space or parking information (rewards are paid only by Makeway as described in the Payout Structure and Rewards section); physically block, hold, or reserve a public parking space by any means, including standing in a space or placing objects in it; post false, misleading, or automated parking signals; harass, threaten, or endanger other users; create multiple accounts or use another person's account, including to circumvent transaction limits; access the Service through automated means, scrape data from the platform, or interfere with its operation; or use the Service in connection with any unlawful activity.

Violation of this section is grounds for immediate suspension or termination.
Accounts and User Information
In order to access the Service, users are required to create an account. When registering for an account, you agree to provide accurate and truthful information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Upon registration, users provide a username or display name of their choosing, an email address, their full license plate number, and their vehicle year, make, and model. Where you enable it, the Service also collects your device's location, including background location, used for coordination as described in the Privacy Policy. Providing false or fraudulent vehicle, license, or identity information is a violation of these Terms and grounds for immediate account termination.

The full license plate number is stored securely on Makeway's backend systems for identity verification, fraud prevention, and dispute resolution purposes. Only the last three digits of a user's license plate are displayed to other users, alongside the username or display name the user chooses and the vehicle year, make, and model. This limited information is shared to facilitate transaction identification and coordination between users.

By submitting vehicle and personal information, you acknowledge that limited information may be shared with other users through the Service as part of the platform's coordination features, as described above.

Makeway reserves the right to suspend or terminate accounts that provide false information, misuse the Service, attempt to manipulate the platform, or violate these Terms.
Payout Structure and Rewards
Makeway rewards users for qualifying actions performed on the platform. A qualifying action is defined as a successful parking information transaction in which both participating users confirm completion and are verified to be in geographic proximity.

Rewards Schedule: The current reward amount, transaction limits, weekly payout cap, and minimum withdrawal threshold are published in the Makeway Rewards Schedule at links.makeway.net/incentive, which is incorporated into these Terms by reference. Makeway may update the Rewards Schedule from time to time. Updates take effect prospectively when posted, and users will be notified of material changes. Continued use of the Service after notification constitutes acceptance of the updated schedule. Rewards already credited to a wallet are not reduced by a later schedule change.

Transaction Limits: Rewarded transactions are subject to the daily limits, minimum spacing between transactions, and weekly caps published in the Rewards Schedule. Once a limit is reached, no further rewarded transactions will be processed until the next applicable period.

Wallet, Vesting, and Payout Mechanics: Earned rewards are stored in an in-app wallet as promotional credit. Credit below the minimum withdrawal threshold published in the Rewards Schedule has no cash value and is not redeemable. When a wallet balance meets the minimum withdrawal threshold, it becomes withdrawable to a payout account (a bank account or debit card) that the user connects through Stripe, Makeway's third-party payment processor. Makeway does not collect, store, or have access to users' banking credentials, payment card numbers, or other financial information. All payout processing is handled entirely by Stripe and is governed by Stripe's Privacy Policy and Terms of Service.
Taxes and No Employment Relationship
You are solely responsible for any tax obligations arising from rewards earned through the Service. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and Makeway. Rewards are promotional payments for qualifying actions on the platform and are not wages or compensation for services.
Wallet Balance and Account Lifecycle
Payout Account: To withdraw rewards, users must connect a payout account (a bank account or debit card) through Stripe. Withdrawable balances are paid only to the user's connected payout account.

Voluntary Account Closure: If your wallet balance meets the minimum withdrawal threshold when you close your account, Makeway will process a withdrawal of that balance to your connected payout account. If no payout account is connected, you will be prompted to connect one before closure completes. Credit below the minimum withdrawal threshold is unvested promotional credit and is forfeited on closure.

Account Suspension for Investigation: Makeway may suspend accounts and freeze wallet payouts pending investigation of suspected fraudulent or abusive activity. Users will be notified of the suspension. If the investigation clears the account, normal functionality will resume. If the account remains suspended for more than thirty days without user response or resolution, Makeway may terminate the account and forfeit the remaining wallet balance.

Account Termination for Violations: Accounts terminated due to fraudulent activity, repeated abuse of the dispute process, or violation of these Terms will result in forfeiture of any remaining wallet balance. No payout will be issued.

Regional Discontinuation: If service is discontinued in a user's region, any wallet balance that meets the minimum withdrawal threshold will be paid out to the user's connected payout account. Users will be given reasonable notice and a window to connect a payout account and withdraw.

Account Inactivity: If an account remains inactive for twelve months with a remaining balance, the user will receive a notification at their registered email address. If the user does not respond within thirty days of notification, any balance that meets the minimum withdrawal threshold will be processed to the user's connected payout account where one is connected, any remaining credit will be forfeited, and the account will be closed, except where applicable unclaimed property law requires otherwise.
Transaction Dispute Resolution
Makeway employs verification measures to ensure the integrity of transactions on the platform. Both participating users must confirm transaction completion, and geographic proximity is verified. Timestamps and activity logs are maintained for dispute resolution purposes.

If a user believes a transaction was completed in error or was not properly credited, they may submit a dispute by contacting Makeway support at support@makeway.net.

Makeway reserves the right to investigate any disputed transaction using available evidence, including user confirmations, location data, timestamps, and activity logs. If an investigation reveals fraudulent activity, abuse of the dispute process, or violation of these Terms, Makeway reserves the right to suspend or terminate the user's account. Users will be notified of account suspension, though such notification may occur after suspension takes effect.

Users acknowledge that providing false or misleading information in a dispute is a violation of these Terms and may result in immediate account termination and forfeiture of any remaining wallet balance.
Data Sharing and Informational Signals
The functionality of the Service depends on the voluntary sharing of certain contextual signals between users. These signals may include a pinned address that a user chooses to share for a specific spot, user activity indicators, vehicle descriptions, and other contextual information that helps users understand parking dynamics. Coordination features may collect and store your device's location, including in the background and as a location history, as described in the Privacy Policy. You control this access through your device's permissions.

Users should understand that the Service is designed to share information rather than grant permissions. Information displayed within the platform is informational in nature and does not constitute a legal authorization, property right, or guaranteed opportunity to park.

By participating in the Service, you acknowledge that the information shared through the platform may not always be accurate, complete, or current. Users are expected to exercise independent judgment when interpreting and acting upon information presented within the platform.
Platform Limitations and Disclaimers
The Service is provided on an "as-is" and "as-available" basis. Makeway makes no guarantees regarding the accuracy, reliability, or availability of the information displayed within the platform.

Makeway does not guarantee that users will find parking through the platform, that parking locations identified through the platform will remain available, or that other users will behave in a predictable or lawful manner.

To the fullest extent permitted by law, Makeway disclaims any responsibility for losses, damages, penalties, fines, towing incidents, vehicle damage, or disputes between users that arise from the use of the Service.

The decision to park in any location remains solely the responsibility of the user.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAKEWAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAKEWAY'S TOTAL LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE SHALL NOT EXCEED FIFTY DOLLARS ($50.00 USD). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF MAKEWAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.IN NO EVENT SHALL MAKEWAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
Indemnification
You agree to indemnify, defend, and hold harmless MAKE WAY LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your parking decisions or interactions with other users, any dispute between you and a property owner, law enforcement agency, municipality, or third party related to parking, and any claim that your use of the platform caused damage, loss, or injury to another party.
Mandatory Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution First. Before initiating arbitration, the party raising a dispute must send the other party a written notice describing the claim, and both parties will attempt in good faith to resolve the dispute informally for thirty days.

Agreement to Arbitrate. You and Makeway agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved through binding individual arbitration and not in a court of law. Arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") in the State of New Jersey. This arbitration agreement is governed by the Federal Arbitration Act. YOU AND MAKEWAY EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

Class Action Waiver. You and Makeway agree that all claims shall be brought in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim falls within the court's jurisdictional limits.

Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to legal@makeway.net within thirty days of first accepting these Terms. If you opt out, the Governing Law and jurisdiction provisions of these Terms will apply.
Property Owner Non-Affiliation Disclaimer
Makeway is not affiliated with property owners, landlords, parking operators, municipalities, or transportation authorities unless explicitly stated.

The platform does not represent that property owners have approved, endorsed, or authorized the sharing of information related to parking activity on their property.

Users acknowledge that the presence of information about a location within the platform does not imply permission from a property owner to park in that location. Any disputes between users and property owners must be resolved directly between those parties.
Third-Party Payment Processing
Makeway uses Stripe as its third-party payment processor for all wallet and payout functionality. Makeway does not collect, store, or have access to users' banking credentials, payment card numbers, or Social Security numbers.

Any financial or identity verification information required by Stripe is submitted directly to Stripe through their embedded interface and is governed by Stripe's Privacy Policy and Terms of Service. Users are encouraged to review Stripe's privacy practices at stripe.com/privacy.

Makeway is not responsible for Stripe's handling of user data, payment processing delays, or errors in payout delivery caused by incorrect information provided by the user to Stripe.
Intellectual Property
All intellectual property associated with the Makeway platform, including but not limited to software code, interface design, branding, trademarks, graphics, and system architecture, is owned by or licensed to MAKE WAY LLC.

Users are granted a limited, non-exclusive, non-transferable right to access and use the Service for personal use in accordance with these Terms. Users may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works based on the platform without prior written consent from MAKE WAY LLC.
Suspension and Termination
Makeway reserves the right to suspend or terminate access to the Service at any time if a user engages in conduct that violates these Terms, attempts to misuse the platform, disrupts system operations, engages in fraudulent activity, abuses the dispute resolution process, or engages in activity that may create legal risk for the platform or other users.

Suspension or termination may occur without prior notice if the conduct poses a risk to the platform or its community. Users will be notified of account suspension, though such notification may occur after the suspension takes effect.

Upon termination, the user's wallet balance will be handled in accordance with the Wallet Balance and Account Lifecycle section of these Terms.
Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

Subject to the Mandatory Arbitration and Class Action Waiver section above, any disputes arising out of or relating to the use of the Service that are not subject to arbitration shall be resolved within the appropriate courts located in New Jersey.

Notwithstanding the foregoing, certain state-specific consumer protection rights may apply to users located in jurisdictions outside New Jersey where required by applicable law. Nothing in these Terms is intended to limit or override those rights.
Electronic Communications
By creating an account, you consent to receive notices, disclosures, and other communications from Makeway electronically, by email or in-app notification. You agree that electronic communications satisfy any legal requirement that a communication be in writing.
App Store Terms
The mobile application may be made available through the Apple App Store or Google Play. These Terms are between you and MAKE WAY LLC only, not with Apple Inc. or Google LLC, and neither Apple nor Google is responsible for the Service or its content. Apple and Google have no obligation to provide maintenance or support for the application. To the extent required by their respective terms, Apple and Google and their subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
General Provisions
Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Makeway regarding the Service.

No Waiver: Makeway's failure to enforce any provision is not a waiver of its right to enforce it later.

Assignment: you may not assign these Terms without Makeway's prior written consent. Makeway may assign them in connection with a merger, acquisition, or sale of assets.

Force Majeure: Makeway is not liable for any delay or failure to perform caused by events beyond its reasonable control.

Survival: provisions that by their nature should survive termination, including Limitation of Liability, Indemnification, and Mandatory Arbitration and Class Action Waiver, survive termination of these Terms or your account.
Changes to the Terms
Makeway may update or revise these Terms from time to time to reflect changes in the platform, legal requirements, or operational practices. When changes occur, the updated Terms will be posted on the website and within the application.

Continued use of the Service following the publication of updated Terms constitutes acceptance of those changes. If a change materially reduces your rights, Makeway will provide advance notice by email or in-app notification.
